WAIVER AND DISCLAIMER

AutoFirst Technology Waiver for Car Inspection Reports

This Waiver and Disclaimer ("Waiver") is provided by AutoFirst ("Company"), the provider of a SaaS-based car inspection technology ("Platform"), to users of the Platform, including but not limited to independent car inspectors, inspection companies, and other business entities (collectively, "Inspectors"). By using the Platform, Inspectors acknowledge and agree to the terms set forth below:

1. No Liability for Inspection Reports
   Autofirst provides the Platform as a tool for Inspectors to conduct vehicle inspections and generate reports. The reports, findings, assessments, and conclusions contained within any inspection report created using the Platform are solely the responsibility of the Inspector. AutoFirst does not verify, validate, or assume any liability for the accuracy, completeness, or reliability of any report generated through the Platform.
2. No Control Over Pricing and Service Terms
   Inspectors using the Platform operate as independent entities. Autofirst does not set, regulate, or have any involvement in the pricing, fees, or charges imposed by Inspectors for their services. Any agreement or transaction between an Inspector and their client is independent of AutoFirst, and AutoFirst bears no responsibility for any disputes, claims, or liabilities arising from such agreements.
3. No Ownership or Responsibility for Customer Data
   Inspectors retain full ownership and control over any customer data collected and stored through the use of the Platform. AutoFirst does not claim any rights, interest, or liability over customer data, nor does it dictate how Inspectors manage, store, or utilize such information. Inspectors are responsible for ensuring compliance with applicable data protection and privacy laws.
4. Indemnification
   Inspectors agree to indemnify, defend, and hold harmless AutoFirst, its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including legal fees) arising from:
   • The use of the Platform by the Inspector;
   • Any errors, omissions, or misrepresentations in the reports generated by the Inspector;
   • Any pricing, transaction, or contractual disputes with customers;
   • Any misuse or mishandling of customer data by the Inspector.
5. Limitation of Liability
   To the fullest extent permitted by law, AutoFirst disclaims all warranties, express or implied, regarding the Platform. Under no circumstances shall AutoFirst be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use the Platform, reliance on the generated reports, or any other matter relating to the use of the Platform.
6. Acceptance of Terms
   By using the Platform, Inspectors acknowledge that they have read, understood, and agreed to this Waiver. AutoFirst reserves the right to modify or update this Waiver at its sole discretion. Continued use of the Platform after any modifications constitute acceptance of the updated terms.
